Terms to be Included in Written Agreements

between Move Sales, Inc. and New Jersey Multiple Listing Service Subscribers

DATABASE ACCESS AND LICENSE AGREEMENT PROVISIONS:

1. As used herein, "Content Source" shall refer to the Multiple Listing Service providing Designated Broker's listing data to MSI.

2. Designated Broker's access to the MLS Database or other broker designated content source ("Content Source"), and use of the Program are subject at all times to the rules and regulations and operating policies of the Content Source. Policies may change at any time, and such changes may result in changes to the Program, including a reduction or elimination of functionality or capabilities.

3. If at any time Content Source informs Licensor that any Designated Broker is no longer a subscriber in good standing with Content Source, any components of the Program that use the Content Source will immediately cease to work for said subscriber.

4. Content Source subscriber is not permitted under any circumstances to make access (to the Content Source or the Program) available to any person not authorized by Content Source to have that access.

5. Licensor is not Content Source's agent and has no authority to enter into any agreement on Content Source's behalf. This Agreement between Licensor and Designated Broker does not create any liability or obligations on the part of Content Source. Designated Broker's sole recourse for damages or breach of this Agreement is to Licensor.

6. DISCLAIMER OF WARRANTIES: LICENSOR MAKES NO WARRANTIES OF ANY KIND ON BEHALF OF CONTENT SOURCE. THIS ENTIRE RISK ARISING OUT OF THE USE OF THE CONTENT SOURCE AND SYSTEM REMAINS WITH DESIGNATED BROKER.

7. LIMITATION OF LIABILITY: IN NO EVENT SHALL CONTENT SOURCE BE HELD LIABLE FOR ANY INJURY TO DESIGNATED BROKER ARISING OUT OF THIS AGREEMENT OR USE OF THE PROGRAM.

8. Indemnification: Designated Broker shall indemnify, defend and hold Content Source, its developers, staff, shareholders, licensors and other Content Source subscribers harmless from any and all claims, damages, losses, liabilities, costs and expenses (including reasonable fees of attorneys and other professionals) arising out of or in connection with this Agreement or use of the Program.

Limitation on Use of Listing Information: Participant understands that NJMLS has agreed to transmit Participant's Listing Information to the above referenced exhibit B solely for the purpose of facilitating the electronic display of the Participant's Listing Information on the Operator(s) Internet site. Any further use or disclosure of the Listing Information by the Operator(s) must be authorized by the Listing Broker pursuant to a separate agreement between the Listing Broker and the Operator(s). NJMLS shall not be responsible for any unauthorized use or disclosure of the Listing Information by the Operator(s).

Waiver of Claims and Indemnification: Participant hereby (i) waives any and all claims Participant might have against NJMLS pertaining to or arising from, and (ii) agrees to indemnify, defend and hold harmless NJMLS against any claim, suit, or action or other proceeding brought by any third party based on or arising from:

1. The transmission of any type of Listing Information, or the failure to transmit same;

2. The content of Participant's Listing Information and/or any unauthorized editing, enhancement, or control of Participant's Listing Information; and

3. The unauthorized use or disclosure of Participant's Listing Information by Operator(s).
